Terms of Service

1. Introduction

Welcome to Euclid Protocol (“Euclid”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your access to and use of Euclid’s decentralized liquidity protocol, related applications, APIs, websites, dashboards, documentation, and any other services provided by Euclid (collectively, the “Services”).

By accessing or using the Services, you (“you”, or the “User”) agree to be bound by these terms, along without Privacy Policy and any applicable product-specific terms, schedules or annexes. If you do not agree, you may not use the Services. 

Purpose

Euclid provides experimental, blockchain-based software infrastructure that allows users to interact with decentralized smart contracts. The Services are provided on “as is” and “as available” basis and may be subject to technological, financial or regulatory risks. 

Updates & Modifications

We may update or modify these Terms from time to time at our sole discretion. If we make material changes, we will provide notice (e.g by posting the updated Terms on our website or within our Services). Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. 

Important Notice

Nothing in these Terms (or in the Services) constitutes investment, legal or financial advice. Tokens and smart contracts deployed through Euclid may fluctuate in value and carry a high risk of loss, and you are solely responsible for understanding and accepting these risks before use. 

2. Definitions

For the purposes of these Terms, the following definitions apply: 

  • Agreement” means these Terms of Service, including annexes, policies, or supplemental terms incorporated by reference.

  • Euclid”, “we”, “our”, “us” refers to Euclid Protocol and its affiliated entities. 

  • Services” means the decentralized liquidity protocol, smart contracts, websites, applications, dashboards, APIs, documentation, and any other products or services offered by Euclid. 

  • Protocol” refers to the blockchain-based infrastructure, consensus mechanisms, and smart contracts that comprise the Euclid system.  

  • User”, “you”, “your” means any individual or entity that accesses or uses the Services. 

  • Tokens” means digital tokens or cryptographic assets associated with or supported by the Euclid Protocol, including but not limited to any governance, utility, or liquidity tokens.

  • Wallet” means a cryptographic key pair or compatible software/hardware tool used to access and interact with blockchain networks and the Euclid Protocol.

  • API” means Euclid’s application programming interface, developer tools, and associated documentation.

  • Third-Party Services” means any external wallets, exchanges, custodians, infrastructure providers, or platforms that may be used in connection with the Services but are not owned or controlled by Euclid.

  • Jurisdiction Restrictions” means any countries or regions where the use of the Services is prohibited by law, regulation, or Euclid’s internal policies (e.g., U.S., sanctioned countries).

  • Governing Law” refers to the laws of the jurisdiction specified in Section 14 (currently the British Virgin Islands).

3. Eligibility and User Responsibilities

3.1 Eligibility

  • You must be at least 18 years old (or the age of legal minority in your legal jurisdiction) to access our services. 

  • By using the Services, you represent and warrant that: 

    • You have the legal capacity and authority to enter into these Terms.

    • You are not a resident, national, or agent of any jurisdiction where the use of blockchain-based services or cryptographic tokens is restricted or prohibited. 

    • You are not on any sanctions or restricted-party lists administered by the United Nations or any relevant authority.

3.2 Wallet Ownership

  • You must use the blockchain wallet that you lawfully control. 

  • You are solely responsible for safeguarding the private keys, passphrases, and credentials associated with your wallet. 

  • Euclid does not and cannot recover private keys or access lost credentials. 

3.3 User responsibilities

When using the Services, you agree to: 

  • Compliance: Use the Services only in accordance with applicable laws, regulations and these Terms. 

  • Security: Maintain reasonable security of your devices, accounts and wallets to prevent unauthorized use. 

  • Integrity: Refrain from using the Services to engage in fraud, money laundering, market manipulation or prohibited conduct (see Section 7). 

3.4 Assumption of Risk 

You acknowledge and agree that you are solely responsible for: 

  • Understanding the technological, financial and regulatory risks associated with decentralized protocols.

  • Any transactions you initiate through the Services, including risk of permanent loss of funds due to software bugs, hacks, user error, or market volatility. 

4. Scope of Services

4.1 Provision of Services

Subject to these Terms, Euclid hereby grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purposes, strictly in accordance with these Terms. The Services include, without limitation: 

  • Access to the Euclid Protocol, consisting of decentralized smart contracts on public blockchain; 

  • Access to Euclid’s applications, interfaces and dashboards designed to facilitate interaction with the protocol. 

  • Access to Euclid’s application programming interfaces (APIs) and associated documentation for approved developer use; and 

  • Access to related supporting materials, including websites, community channels and technical documentation. 

4.2 Limitations of Services

You acknowledge and agree that: 

  1. No Custody or Control: Euclid does not and cannot control your blockchain wallet, private keys, or digital assets. All transactions are executed by you and recorded directly on the relevant blockchain. 

  2. Experimental Nature: The Services are experimental and may be subject to software errors, security vulnerabilities, and unexpected downtime. 

  3. No Guarantee of Availability: Euclid makes no representation or warranty that the Services will be uninterrupted, error-free, or continuously available. 

  4. Third-Party Dependencies: Certain functionalities of the Services may rely upon a third-party provider (including wallets, custodians, exchanges, infrastructure services, oracles or data providers). Euclid disclaims all responsibility for the actions, omissions, or failures of such third parties. 

4.3 Right to Modify or Discontinue 

Euclid reserves the right, at its sole discretion and without liability or prior notice, to: 

  • Modify, suspend, or discontinue any aspect of the Service; 

  • Restrict user access to certain features or functionalities; and

  • Require additional conditions or restrictions for continued access to the Services.

5. Use of Tokens

5.1 General Disclaimer

The Services may support, display or route transactions involving cryptographic tokens, digital assets, or other blockchain-based instruments (collectively, “Tokens”). These Tokens may include: (i) tokens native to Euclid Protocol, (ii) third-party tokens integrated into liquidity pools or routing layers, and (iii) governance or utility tokens from other protocols. Euclid does not issue, endorse, or guarantee the value, functionality or legality of any Token, except as expressly disclosed with respect to Euclid’s own native token(s). 

5.2 No Investment Advice or Guarantee of Value 

Tokens accessible through the Services are not securities, investments, or financial products unless expressly classified as such under applicable law. Nothing in these Terms, nor any content provided by Euclid, constitutes financial, investment, legal or tax advice. 

  • No Token is guaranteed to maintain any particular value. 

  • No Token should be purchased or held with expectation of profit, dividends, or economic return.

  • Prices and liquidity are determined by decentralized markets and may be volatile or subject to manipulation. 

5.3 User Responsibility 

You are solely responsible for: 

  1. Determining whether your acquisition, holding, or use of any Token complies with the laws of your jurisdiction. 

  2. Bearing all risks associated with Tokens, including technological risk (e.g smart contract vulnerabilities, bugs, forks) and market risk (e.g volatility, liquidity shortage). 

  3. Understanding that transactions are irreversible once confirmed on the relevant blockchain. 

5.4 Euclid’s Limited Role 

Euclid provides a protocol layer and related interfaces that facilitates interaction with these Tokens. Euclid does not: 

  • Issue or hold custody of any third-party Tokens;

  • Provide settlement guarantees for Token transactions; 

  • Ensure that any Token is legal, compliant or suitable for your use; or

  • Assume responsibility for disputes between Users and third-party token issuers, exchanges or liquidity providers.

5.5 Native Euclid Tokens 

Where Euclid deploys its own native token(s), such token(s) shall serve only as utility instruments within the Euclid Protocol and associated ecosystem. Such tokens do not represent equity, debt, ownership, voting rights (except where expressly provided for governance), or any claim to revenue, profits, or assets of Euclid or its affiliates. 

5.6 Restricted Tokens and Jurisdictions

Certain tokens may be restricted, prohibited, or unavailable for use in particular jurisdictions due to regulatory or policy reasons. Euclid reserves the right to restrict or block access to specific Tokens through its interfaces at its sole discretion. Euclid does not have the ability or authority to delist tokens from decentralized markets directly. 

6. Risk Disclosures

6.1 General Acknowledgement

By accessing or using the Services, you acknowledge and agree that blockchain technologies, smart contracts, and cryptographic tokens are experimental and inherently risky. You assume full responsibility for all risks associated with your use of the Services.

6.2 Technology Risks 

The Services rely on public blockchains, decentralized smart contracts, and third-party infrastructure. Such systems may contain vulnerabilities, bugs, or exploits that could result in partial or total loss of funds, inability to access assets, or permanent damage to functionality.

6.3 Market Risks 

Tokens and digital assets accessible through the Services are highly volatile and may experience sudden and significant fluctuations in value or liquidity. You may lose some or all of the value of your Tokens without warning or recourse.

6.4 Regulatory Risks 

The legal and regulatory treatment of tokens and blockchain-based services is uncertain and subject to change. New laws, regulations, or enforcement actions may materially affect the availability, legality, or operation of the Services or Tokens.

6.5 Operational Risks 

The Services may be interrupted, suspended, or terminated due to circumstances beyond Euclid’s control, including but not limited to software failures, cyberattacks, network outages, or third-party service provider failures.

6.6 No Guarantee

Euclid does not represent or warrant that:

  • The Services are error-free or immune from unauthorized access;

  • Any Token will maintain or increase in value;

  • Transactions can be reversed or recovered once executed on the blockchain.

6.7 Entire Risk on User 

You expressly understand and agree that you access and use the Services at your own sole risk, and that Euclid shall bear no liability for any damages, claims, or losses arising from such use.

7. Prohibited Conduct

7.1 General Prohibitions

In connection with your access to or use of the Services, you shall not, directly or indirectly:

  1. Unlawful Activity: Use the Services in any manner that violates any applicable law, regulation, or governmental order.

  2. Fraud or Misrepresentation: Engage in or attempt to engage in fraudulent, deceptive, or manipulative activity, including market manipulation, wash trading, or pump-and-dump schemes.

  3. Exploitation of Vulnerabilities: Attempt to probe, exploit, hack, overload, interfere with, or otherwise compromise the integrity or security of the Services, Protocol, or any associated smart contracts.

  4. Circumvention: Attempt to bypass, disable, or otherwise interfere with any security measures, restrictions, or technical safeguards implemented by Euclid.

  5. Malicious Conduct: Use the Services to distribute malware, viruses, spam, denial-of-service attacks, or any other harmful or malicious code.

  6. Unpermitted Use of Tokens: Employ the Services or Protocol for the purpose of laundering money, financing terrorism, or otherwise concealing the origin or destination of funds.

  7. Unauthorized Commercial Use: Resell, lease, sublicense, or otherwise exploit the Services or Protocol for unauthorized commercial purposes.

7.2 Enforcement

Euclid reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Services if it determines that you have engaged in any Prohibited Conduct. Such action may include the revocation of API keys, disabling of application access, or blacklisting of associated wallet addresses.

8. Intellectual Property

8.1 Ownership of Rights

Except as expressly provided herein, all rights, title, and interest in and to the Services, including but not limited to software, source code (excluding open-source smart contracts licensed under Section 8.2), websites, user interfaces, APIs, documentation, text, graphics, trademarks, service marks, logos, and other proprietary content, are owned by Euclid or its licensors and are protected by applicable intellectual property laws.

8.2 Open-Source Decentralized Core

The Euclid Protocol’s core smart contracts are made available under an open-source license (e.g., MIT or Apache 2.0). Subject to the terms of such license, you are permitted to access, use, modify, and distribute those smart contracts. Euclid expressly disclaims any warranties with respect to such open-source components, which are provided strictly on an “as is” basis.

8.3 Proprietary Components

All other elements of the Services, including without limitation Euclid’s brand assets, trade dress, proprietary algorithms, system architecture, APIs, frontend applications, SDKs, and documentation, are proprietary to Euclid and may not be copied, modified, reverse engineered, distributed, or otherwise exploited without Euclid’s prior written consent.

8.4 Trademark Use

“Euclid,” “Euclid Protocol,” associated logos, and any other trademarks, service marks, or trade names appearing within the Services are the property of Euclid or its affiliates. You may not use such marks without prior written authorization, except for nominative or descriptive fair use consistent with applicable law.

8.5 Reservation of Rights

No rights or licenses are granted to you under these Terms, whether by implication, estoppel, or otherwise, except for the limited rights expressly set forth in these Terms or in the applicable open-source license.

9. Privacy & Data

9.1 On-Chain Activity

Transactions that occur through the Euclid Protocol are executed on public blockchains. Such activity is inherently transparent and may be publicly accessible in perpetuity. Euclid does not control, edit, or delete blockchain data. You acknowledge that your wallet addresses, balances, and transaction history may be publicly visible on-chain.

9.2 Data Collected By Euclid

Euclid does not, by default, collect personal information from Users interacting directly with the Protocol. However, where you access Euclid’s websites, applications, or APIs, we may collect limited technical and usage data, which may include:

  • Log files, device identifiers, IP addresses, and browser information;

  • API access logs, including developer keys and rate-limit usage;

  • Information you voluntarily provide (e.g., when registering for developer access or community programs).

9.3 Use of Data

Any data collected by Euclid may be used solely for: 

  • Operating, maintaining, and improving the Services;

  • Protecting security and preventing abuse;

  • Complying with applicable legal or regulatory obligations.

9.4 Third-Party Services

Where you access or use third-party wallets, custodians, exchanges, analytics tools, or infrastructure providers in connection with the Services, such third parties may collect and process your data under their own policies. Euclid disclaims any responsibility for data handling practices of third-party providers.

9.5 Privacy Policy

Additional details regarding data practices may be set forth in Euclid’s separate Privacy Policy, which is incorporated by reference into these Terms. In the event of a conflict between these Terms and the Privacy Policy, these Terms shall govern.

10. Third-Party Services

10.1 Independent Providers

The Services may rely on or interoperate with third-party products, services, or platforms, including but not limited to wallets, custodians, exchanges, infrastructure providers, data oracles, analytics tools, and communication channels (“Third-Party Services”).

10.2 No responsibility

Euclid does not own, control, or operate Third-Party Services. Accordingly:

  • Euclid makes no representations or warranties regarding the security, functionality, legality, or availability of any Third-Party Service;

  • Your use of Third-Party Services is subject to their own terms and policies;

  • Euclid disclaims all liability for acts, omissions, or failures of Third-Party Services, including any loss of assets or data.

10.3 User Responsibility

You are solely responsible for reviewing and complying with the applicable terms, policies and practices of all Third-Party Services with which you interact in connection with the Services.

11. Disclaimers & Limitation of Liability 

11.1 “As Is” Basis

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, Euclid expressly disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and freedom from errors or defects.

11.2 No Representation 

Without limiting the foregoing, Euclid makes no representation, warranty, or undertaking that:

  1. The Services or Protocol will operate in an uninterrupted, secure, or error-free manner;

  2. Tokens will retain value, maintain liquidity, or be legally tradable in any jurisdiction;

  3. Any transaction initiated through the Services can or will be executed, confirmed, or reversed;

  4. The Services are immune from unauthorized access, hacking, denial-of-service attacks, or other malicious interference.

11.3 Exclusion of Certain Damages

To the maximum extent permitted by law, in no event shall Euclid, its affiliates, officers, directors, employees, agents, licensors, or contractors be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to damages for lost profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Services, whether based on contract, tort, strict liability, or any other legal theory, even if Euclid has been advised of the possibility of such damages.

11.4 Limitation of Aggregate Liability

To the maximum extent permitted by law, Euclid’s aggregate liability to you, whether arising under contract, tort, or otherwise, shall not exceed the greater of: (i) one hundred U.S. dollars (USD $100), or (ii) the total amount of fees (if any) paid by you to Euclid for access to the Services in the twelve (12) months preceding the event giving rise to the claim.

11.5 Allocation of Risk

You acknowledge and agree that the foregoing disclaimers and limitations of liability are fundamental elements of the basis of the bargain between you and Euclid, and that Euclid would not be able to provide the Services on an economically reasonable basis without such limitations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Euclid, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (i) your access to or use of the Services; (ii) your violation of these Terms; or (iii) your violation of any applicable law or the rights of any third party.

13. Termination and Suspension

13.1 Termination by Euclid 

Euclid reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to any or all of the Services, including but not limited to revoking access to applications, dashboards, APIs, or Protocol interaction, if:

  1. You violate or are reasonably suspected of violating these Terms;

  2. Euclid determines that your continued access poses a risk to the security, integrity, or lawful operation of the Services; or

  3. Such action is required to comply with applicable law, regulation, or order of a competent authority.

13.2 Effect of Termination 

Upon termination or suspension:

  • All rights granted to you under these Terms shall immediately cease;

  • You remain solely responsible for all obligations and liabilities incurred prior to termination;

  • Euclid shall have no liability to you for any losses or damages suffered as a result of such termination, including loss of access to any Tokens or third-party services.

13.3 Survival 

Sections of these Terms which by their nature should survive termination (including but not limited to risk disclosures, disclaimers, limitations of liability, indemnification, and governing law) shall so survive.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms and any dispute, controversy, or claim arising out of or in connection with them, including any question regarding their existence, validity, interpretation, performance, breach, or termination (a “Dispute”), shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws rules.

14.2 Arbitration Agreement

Any Dispute shall be referred to and finally resolved by binding arbitration under the Rules of Arbitration of the London Court of International Arbitration (“LCIA Rules”), which Rules are deemed to be incorporated by reference into this Section.

  • The seat, or legal place, of arbitration shall be London, United Kingdom.

  • The language of the arbitration shall be English.

  • The arbitral tribunal shall consist of one (1) arbitrator, appointed in accordance with the LCIA Rules.

  • The decision of the arbitrator shall be final and binding on the parties and may be entered and enforced in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only, and not as a class action, representative action, or class arbitration. You hereby waive the right to participate in a class action against Euclid.

14.4 Injunctive Relief 

Notwithstanding the foregoing, Euclid retains the right to seek injunctive or equitable relief in any court of competent jurisdiction in order to prevent or restrain actual or threatened infringement, misappropriation, or violation of its intellectual property rights.
